ПУБЛИЧНАЯ ОФЕРТА

о заключении договора об оказании услуг

1. Общие положения

В настоящей Публичной оферте содержатся условия заключения Договора об оказании услуг (далее — «Договор»). Настоящей офертой признается предложение, адресованное одному или нескольким конкретным лицам, которое достаточно определенно и выражает намерение лица, сделавшего предложение, считать себя заключившим Договор с адресатом, которым будет принято предложение.

Совершение указанных в настоящей Оферте действий является подтверждением согласия обеих Сторон заключить Договор об оказании услуг на условиях, в порядке и объеме, изложенных в настоящей Оферте.

Нижеизложенный текст Публичной оферты является официальным публичным предложением Исполнителя, адресованным заинтересованному кругу лиц заключить Договор об оказании услуг в соответствии с положениями пункта 2 статьи 437 Гражданского кодекса РФ.

Договор об оказании услуг считается заключённым и приобретает силу с момента совершения Сторонами действий, предусмотренных в настоящей Оферте, означающих безоговорочное и полное принятие всех условий настоящей Оферты без каких-либо изъятий или ограничений на условиях присоединения.

Термины и определения:

— Договор — текст настоящей Оферты с Приложениями, акцептованный Заказчиком путём совершения конклюдентных действий.

— Конклюдентные действия — поведение, которое выражает согласие с предложением контрагента заключить, изменить или расторгнуть договор.

— Сайт Исполнителя — https://run-as-daemon.dev

— Стороны — Исполнитель и Заказчик.

— Услуга — услуга, оказываемая Исполнителем Заказчику на условиях настоящей Оферты.

2. Предмет Договора

2.1. Исполнитель обязуется оказать Заказчику Услуги, а Заказчик обязуется оплатить их в размере, порядке и сроки, установленные настоящим Договором.

2.2. Наименование, количество и условия оказания Услуг определяются при оформлении заявки либо устанавливаются на сайте https://run-as-daemon.dev

2.3. Исполнитель оказывает Услуги лично либо с привлечением третьих лиц, при этом за их действия отвечает как за свои собственные.

2.4. Договор заключается путём совершения конклюдентных действий: регистрации учётной записи, оформления и направления заявки, оплаты Услуг либо начала их оказания.

3. Права и обязанности Сторон

3.1. Исполнитель обязуется:

3.1.1. Оказать Услуги в соответствии с условиями настоящего Договора, в сроки и объёме, указанных на Сайте.

3.1.2. Обеспечить Заказчику доступ к разделам Сайта, необходимым для получения Услуг.

3.1.3. Хранить и обрабатывать персональные данные Заказчика с соблюдением конфиденциальности.

3.1.4. Вправе изменять условия настоящей Оферты в одностороннем порядке путём публикации изменений на Сайте.

3.2. Заказчик обязуется:

3.2.1. Предоставлять достоверную информацию о себе.

3.2.2. Не воспроизводить, не копировать и не распространять материалы, ставшие доступными в рамках оказания Услуг, за исключением личного использования.

3.2.3. Принять Услуги, оказанные Исполнителем.

3.2.4. Вправе потребовать возврата денежных средств за неоказанные или ненадлежащим образом оказанные Услуги в соответствии с действующим законодательством РФ.

3.2.5. Гарантирует, что все условия Договора понятны и принимаются в полном объёме без оговорок.

4. Цена и порядок расчётов

4.1. Стоимость Услуг и порядок оплаты определяются при оформлении заявки либо на Сайте: https://run-as-daemon.dev

4.2. Все расчёты по Договору производятся в безналичном порядке.

5. Конфиденциальность и безопасность

5.1. Стороны обеспечивают конфиденциальность и безопасность персональных данных в соответствии с ФЗ № 152-ФЗ от 27.07.2006 «О персональных данных» и ФЗ № 149-ФЗ «Об информации».

5.2. Стороны принимают все меры для предохранения полученной информации от разглашения.

5.3. Конфиденциальной считается любая информация, передаваемая Сторонами в процессе реализации Договора и подлежащая защите.

5.4. Такая информация может содержаться в нормативных актах, договорах, письмах, отчётах, аналитических материалах, схемах и других документах.

6. Форс-мажор

6.1. Стороны освобождаются от ответственности при наступлении обстоятельств непреодолимой силы: запретных действий властей, эпидемий, блокады, эмбарго, стихийных бедствий.

6.2. Сторона обязана уведомить другую Сторону в течение 30 рабочих дней с момента наступления таких обстоятельств.

6.3. Подтверждением форс-мажора является документ уполномоченного государственного органа.

6.4. При продолжении форс-мажора более 60 рабочих дней каждая Сторона вправе отказаться от Договора.

7. Ответственность Сторон

7.1. Стороны несут ответственность в соответствии с настоящей Офертой.

7.2. Исполнитель не несёт ответственности, если нарушение произошло по вине Заказчика.

7.3. Сторона, нарушившая обязательства, обязана возместить причинённые убытки.

8. Срок действия Оферты

8.1. Оферта вступает в силу с момента размещения на Сайте и действует до её отзыва.

8.2. Исполнитель вправе изменить или отозвать Оферту в любой момент, уведомив Заказчика через Сайт, Личный кабинет или по указанным контактам.

8.3. Договор вступает в силу с момента Акцепта и действует до полного исполнения обязательств.

8.4. Изменения, опубликованные на Сайте, считаются принятыми Заказчиком в полном объёме.

9. Дополнительные условия

9.1. Договор регулируется законодательством РФ.

9.2. Споры урегулируются мирным путём; досудебный порядок обязателен.

9.3. Язык Договора и взаимодействия Сторон — русский.

9.4. Все документы составляются на русском языке либо имеют перевод.

9.5. Бездействие Стороны не означает отказа от своих прав.

9.6. Исполнитель не несёт ответственности за содержание сторонних сайтов, ссылки на которые размещены на Сайте в информационных целях.

for Services Agreement

1. General Provisions

This Public Offer sets forth the terms and conditions for entering into a Services Agreement (hereinafter — "Agreement"). This Offer is addressed to an indefinite circle of persons and constitutes a proposal expressing the intent of the party making the offer to be bound by the Agreement with any party that accepts it.

By performing the actions described herein, both Parties confirm their agreement to enter into the Services Agreement on the terms, in the manner, and to the extent set forth in this Offer.

This Public Offer constitutes the official public proposal of the Service Provider, addressed to all interested parties to conclude a Services Agreement pursuant to Article 437(2) of the Civil Code of the Russian Federation.

The Agreement is deemed concluded and comes into force upon the Parties performing the actions provided for herein, signifying unconditional and full acceptance of all terms of this Offer.

Definitions:

— Agreement — this Offer with Annexes, accepted by the Customer through conclusive actions.

— Conclusive actions — conduct that expresses consent to conclude, amend, or terminate an agreement.

— Parties — the Service Provider and the Customer.

— Service — the service provided by the Service Provider to the Customer under this Offer.

2. Subject Matter

2.1. The Service Provider undertakes to render Services to the Customer, and the Customer undertakes to pay for them in the amount, manner, and within the timeframes established by this Agreement.

2.2. The scope, quantity, and other conditions of Services are determined when the Customer submits a request or as set out on the Website: https://run-as-daemon.dev

2.3. The Service Provider renders Services personally or involves third parties, remaining responsible for their actions as for its own.

2.4. The Agreement is concluded through conclusive actions: account registration, submission of a service request, payment, or commencement of service delivery.

3. Rights and Obligations of the Parties

3.1. The Service Provider undertakes to:

3.1.1. Render Services in accordance with this Agreement within the timeframes and scope specified on the Website.

3.1.2. Provide the Customer access to the Website sections required to receive the Services.

3.1.3. Store and process the Customer's personal data in compliance with applicable data protection law.

3.1.4. Amend the terms of this Offer unilaterally by publishing changes on the Website.

3.2. The Customer undertakes to:

3.2.1. Provide accurate personal information.

3.2.2. Refrain from reproducing, copying, selling, or otherwise using materials made available through the Services, except for personal use.

3.2.3. Accept the Services rendered by the Service Provider.

3.2.4. May request a refund for unrendered, defective, or untimely Services in accordance with applicable Russian law.

3.2.5. Guarantees that all terms of the Agreement are understood and accepted in full without reservation.

4. Price and Payment Terms

4.2. All payments under this Agreement shall be made by bank transfer (non-cash).

5. Confidentiality and Data Protection

5.1. The Parties ensure the confidentiality and security of personal data in accordance with Federal Law No. 152-FZ of 27.07.2006 "On Personal Data" and Federal Law No. 149-FZ "On Information, Information Technologies and Information Protection."

5.2. The Parties shall take all reasonable measures to protect confidential information from disclosure.

5.3. Confidential information means any information exchanged by the Parties in the course of performing this Agreement and subject to protection.

5.4. Such information may be contained in internal regulations, agreements, letters, reports, analytical materials, diagrams, specifications, and other documents.

6. Force Majeure

6.1. The Parties are exempt from liability for non-performance or improper performance due to force majeure circumstances: governmental restrictions, epidemics, blockades, embargoes, natural disasters, and other extraordinary and unavoidable events.

6.2. The affected Party shall notify the other Party within 30 working days of the occurrence of such circumstances.

6.3. A document issued by a competent governmental authority constitutes sufficient confirmation of force majeure.

6.4. If force majeure continues for more than 60 working days, either Party may unilaterally terminate the Agreement.

7. Liability

7.1. The Parties bear liability in accordance with the terms of this Offer.

7.2. The Service Provider is not liable for non-performance caused by the Customer's fault.

7.3. The Party that fails to perform its obligations shall compensate the other Party for losses caused by such breach.

8. Term of the Offer

8.1. The Offer takes effect upon publication on the Website and remains valid until withdrawn.

8.2. The Service Provider may amend or withdraw the Offer at any time, notifying the Customer via the Website, personal account, or contact details provided.

8.3. The Agreement takes effect upon Acceptance and remains valid until full performance by both Parties.

8.4. Amendments published on the Website are deemed accepted by the Customer in full.

9. Additional Terms

9.1. The Agreement is governed by the laws of the Russian Federation.

9.2. Disputes shall be settled amicably; pre-trial dispute resolution is mandatory.

9.3. The language of the Agreement and all communications is Russian. English translation is provided for information purposes only.

9.4. All documents shall be in Russian or accompanied by a certified Russian translation.

9.5. Inaction of a Party does not constitute a waiver of rights.

9.6. The Service Provider is not liable for third-party website content linked from the Website.
